B&P End-User License Agreement

1. Scope

This Agreement governs use of B&P Production (the "Application"), an internal production management system developed and operated by Refuge Industries, LLC ("Company"), which does business as Bold MFG & Supply and Proper Tool Co., for its own manufacturing operations.

The Application is for internal use only. It is not sold, licensed, sublicensed, distributed, or made available to the public or to any third party. "User" means an employee or contractor of the Company who has been granted access.

By accessing the Application, the User agrees to these terms.

2. License

The Company grants each authorized User a limited, non-exclusive, non-transferable, revocable right to access and use the Application solely to perform their duties for the Company. No other right or license is granted.

3. Authorized users

Access is granted individually by the Company and may be modified or revoked at any time, without notice, at the Company's discretion. Access ends automatically when a User's employment or engagement ends.

Users may not share credentials, allow another person to use their account, or access the Application on behalf of anyone other than the Company.

4. Acceptable use

Users shall not:

  • Access, use, or disclose data in the Application for any purpose other than performing work for the Company
  • Copy, export, or transmit data outside the Company except as required for legitimate business purposes
  • Attempt to circumvent authentication, authorization, or access controls
  • Reverse engineer, decompile, or attempt to derive the source code of the Application
  • Introduce malicious code or attempt to disrupt the Application's operation
  • Use the Application in violation of any applicable law

5. Data and connected services

The Application connects to the Company's own QuickBooks Online company file and ShipStation account to retrieve order and shipment information. All data accessed through the Application — including customer information, order details, pricing, and production records — is confidential information of the Company.

Users acknowledge that the Application processes personal information belonging to the Company's customers and agree to handle it in accordance with the Company's Privacy Policy and applicable law.

The Company may revoke any connected service authorization at any time.

6. Intellectual property

The Application, including all software, interfaces, documentation, and data contained in it, is and remains the exclusive property of the Company. Nothing in this Agreement transfers any ownership interest.

7. Monitoring

The Company may log, monitor, and audit use of the Application, including actions taken by individual Users. Users should have no expectation of privacy in their use of the Application.

8. No warranty

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATING TO USE OF THE APPLICATION.

10. Term and termination

This Agreement remains in effect for as long as a User has access to the Application. The Company may suspend or terminate access at any time, with or without cause or notice. Sections 4, 5, 6, 8, 9, and 11 survive termination.

11. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Hays County, Texas.

12. Entire agreement

This Agreement, together with the Company's Privacy Policy, constitutes the entire agreement regarding the Application and supersedes any prior understanding. If any provision is held unenforceable, the remainder stays in effect.
